Lift — Back-Office / Merchant Portal Terms of Use

1. Acceptance & Eligibility
By accessing or using Lift (the “Platform”), operated by PostMerchant LLC (“PostMerchant,” “we,” “us”), you agree to these Terms of Use (“Terms”). If you accept on behalf of a business, you represent that you are an authorized representative with authority to bind that business and are at least 18. If you do not agree, do not access the Platform.
2. Relationship to Other Agreements
These Terms are between you and PostMerchant and govern your use of the Lift software and portal only. Your payment-processing services are governed by a separate Merchant Processing Agreement (“MPA”) between you and the independent sales organization, partner, or agent through whom you applied (your “Sales Organization”) and/or its sponsor bank or processor. PostMerchant is the software provider and is not a party to your MPA. If these Terms conflict with your MPA, the MPA controls for payment-services matters and these Terms control for Platform-use matters. The Privacy Policy is incorporated by reference.
3. Definitions
“Sales Organization” means the ISO, partner, or agent whose program you applied under. “Application” means your merchant onboarding submission. “Merchant” means a boarded, active processing account. “Portal Data” means statements, transactions, residuals, and other information shown to you in the Platform.
4. Accounts & Credentials
You are responsible for safeguarding your credentials and for all activity under your account. Use multi-factor authentication where offered. Notify us immediately of any unauthorized access. You may not share, sell, or transfer access, or permit others to use your login.
5. License & Permitted Use
We grant you a limited, revocable, non-exclusive, non-transferable right to access the Platform for your own internal business purposes related to your Application or Merchant account. All other rights are reserved.
6. Acceptable Use
You will not:
- access data of any other merchant, tenant, or Sales Organization, or attempt to defeat the Platform’s multi-tenant isolation;
- scrape, crawl, bulk-export, or use bots or automated means beyond any documented API;
- reverse engineer, decompile, or probe or scan the Platform’s security;
- upload malware or submit content you lack the right to submit;
- interfere with availability (for example, denial-of-service or excessive load);
- use the Platform for any unlawful, prohibited-business, or fraudulent purpose, or in violation of applicable card-network rules.
7. Accuracy & Representations
You represent that all information you submit (including owner identity, ownership percentages, financial data, and documents) is true, current, and complete. Submitting false information may constitute fraud and is grounds for denial, termination, and referral to card networks or authorities.
8. Electronic Signatures & Records
You consent to transact and sign electronically under the federal E-SIGN Act and applicable UETA. Electronic acceptances, timestamps, and audit evidence we capture are admissible and binding.
9. Underwriting & Credit Authorizations
Any authorization to obtain credit reports, consumer reports, or background information for underwriting or account review is provided under the separate agreements and disclosures supplied by your Sales Organization. PostMerchant provides the software through which such information may be submitted or displayed; PostMerchant does not itself act as the user of consumer reports.
10. Your Content & Documents
You grant PostMerchant and its service providers a license to use the documents and data you submit (for example, voided checks, bank statements, licenses) solely to provide onboarding, account-management, and support services through the Platform.
11. Third-Party Services
The Platform integrates with third parties (for example, card processors, sponsor banks, e-signature, identity and tax-ID verification, and communications providers). Your use of their services may be subject to their own terms; PostMerchant is not responsible for third-party services.
12. Portal Data — Informational (“As Is”)
Statement, transaction, and residual figures shown in the Platform are provided for convenience and may be preliminary or differ from official processor or settlement records, which control. Do not rely on Portal Data as a final accounting.
13. Confidentiality
Pricing, residuals, statements, and non-public Platform features are confidential; you will not disclose them except as needed for your business.
14. Intellectual Property
The Platform and all related intellectual property are owned by PostMerchant LLC and its licensors. No rights are granted except as expressly stated.
15. Suspension & Termination
PostMerchant or your Sales Organization may suspend or terminate Platform access at any time, including for suspected fraud, risk, non-payment, or violation of these Terms. Termination of Platform access does not by itself terminate your MPA, and vice versa.
16. Disclaimers
The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement, and without warranty of uninterrupted or error-free operation.
17. Limitation of Liability
Total aggregate liability of PostMerchant LLC arising out of or relating to use of the Lift platform shall not exceed US $100. This cap does not apply to your indemnification obligations, breaches of confidentiality, or a party’s fraud, gross negligence, or willful misconduct. Liability for payment-processing services is governed solely by your Merchant Processing Agreement. To the maximum extent permitted by law, PostMerchant is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data.
18. Indemnification
You will indemnify and hold harmless PostMerchant LLC and its affiliates and service providers against claims arising from your breach of these Terms, your content, or your unlawful use of the Platform.
19. Changes
We may update these Terms; material changes will be notified in-app or by email, and your continued use of the Platform constitutes acceptance.
20. Governing Law & Disputes
These Terms are governed by the laws of the State of Maine, without regard to conflict-of-laws rules. The state and federal courts located in Maine shall have exclusive jurisdiction over any dispute, and each party irrevocably waives any right to a trial by jury.
